Ainee operated by ADVANCE X PTE. LTD offers services to you, a user, under the condition that you accept all of our set terms, including these Terms of Service and all related policies.

These Terms of Service have been updated as of November 5th, 2024 and will be effective as of November 5th, 2024. These terms may be updated and presented again to the Customer from time to time. Continued use of the Services constitutes acceptance of the updated terms. If you do not agree with the Agreement, please stop using the Services.

Use of the Service

Ainee provides conversational bots as a service ("Service"). Subject to your compliance with the Terms of Service and solely during the subscription term of your account, you have the limited right to access and use the Service in accordance with the service plan(s) that you subscribe to for your internal business purposes. Without limiting the foregoing, your right to access and use the app is also subject to the restrictions and policies implemented by Ainee from time to time. You must be 18 years or older to use the Service.

Account

• You must be a human. Accounts registered by "bots" or other automated methods are not permitted.

• You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.

• You are responsible for maintaining the security of your account and password. Ainee cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

• One person or legal entity may not maintain more than one free account.

• You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

Payment, Upgrading, and Downgrading

• A valid credit card, debit card or bank account is required for paying accounts. Free accounts are not required to provide a credit card number.

• An upgrade from a free trial to any paid plan will end your free trial.

• The Service is billed in advance on a monthly and yearly basis. If a user chooses to subscribe for an annual pricing plan, he/she can subscribe by paying complete 12 months fees in advance.

• Even so, we charge users only once a year; any overage charges will be charged at the end of the subsequent month.

• All the monthly limits related to orders will be reset at the end of every month.

• If user upgrades to a higher plan during the middle of the year; user will be charged the price difference of two plans for the remainder of the year.

• The user cannot switch to a monthly plan in the middle of an annual billing cycle.

• The user cannot downgrade to a lower plan in the middle of an annual billing cycle.

Modifications to the Service and Prices

• Ainee reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

• Pricing plans of the Service, including but not limited to monthly and annual subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the App or the Service itself.

• Ainee shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Intellectual Property Rights

• Each of us shall maintain all rights, title and interest in and to all our respective patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how and any other intellectual property and/or proprietary rights (collectively, Intellectual Property Rights).

• You are prohibited from using any of the marks or logos appearing throughout the App without permission from the trademark owner, except as permitted by applicable law.

• Ainee claims no intellectual property rights over the material you provide to the Service.

• You may not duplicate, copy, or reuse any portion of Ainee HTML/CSS or visual design elements without express written permission from Ainee.

User Conduct

You agree to use the app only for lawful purposes. You agree not to take any action that might compromise the security of the App, render the App inaccessible to others or otherwise cause damage to the App or the Content. You agree not to add to, subtract from, or otherwise modify the Content, or to attempt to access any Content that is not intended for you. You agree not to use the App in any manner that might interfere with the rights of third parties.

Limitation of Liability and Indemnity

We provide the service as is, and we make no promises or guarantees about it. You understand and agree that we will not be liable to you or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential or exemplary damages, however they arise. You are responsible for your use of the service. If you harm someone else or get into a dispute with someone else, we will not be involved. If you knowingly infringe someone else's intellectual property, and that costs us money, we're going to come find you and collect that money from you. We might also do other stuff, like try to get a court to make you pay our attorney's fees. Don't do it.

Miscellaneous

Force Majeure. Neither party will be liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, terrorism, riots, or war.

No Agency. This Agreement does not create any agency, partnership, or joint venture between the parties.

Severability. If any part of this Agreement is invalid, illegal, or unenforceable, the rest of the Agreement will remain in effect.

No Third-Party Beneficiaries. This Agreement does not confer any benefits on any third party unless it expressly states that it does.

Survival. The sections and obligations in this Agreement that a reasonable person would expect to survive this agreement, will. Particularly the IP and privacy stuff.
